1. The restricted stock units ("RSUs") were issued to the Reporting Person on July 16, 2015, as compensation for service on the Issuer's board of directors. Vesting as follows: (i) 10,000 RSUs vest in the first open window after the Company's 2015 Annual Meeting of Stockholders and (b) 10,000 RSUs vest in the first open window following the Company's 2016 Annual Meeting of Stockholders.
