Explanation of Responses:

1. Represents an annual restricted stock award (the "RSA") granted pursuant to the Issuer's Amended and Restated Non-Employee Director Compensation Policy (the "Compensation Policy"). The shares underlying the RSA shall vest on the one year anniversary, May 11, 2018, subject to Dr. Gardner's Continuous Service (as defined in the Issuer's 2014 Equity Incentive Plan (the "Plan")) through such vesting date.

2. The shares subject to the stock option shall vest on the one year anniversary, May 11, 2018, subject to Dr. Gardner's Continuous Service (as defined in the Plan) through such vesting date. The stock option represents an annual option grant pursuant to the Compensation Policy.
