Explanation of Responses:

1. Represents a stock award of 2,025.316 deferred shares of the Issuer's Class A Common Stock having a value of $120,000 on May 21, 2020, the date of the award. The Reporting Person was elected as a member of the Issuer's board of directors on May 18, 2020. Pursuant to the Deferred Stock Agreement for Directors, these shares shall be settled and paid 180 days after termination of the Reporting Person's service as a member of the Issuer's board of directors.
