Explanation of Responses:

1. Represents grant of deferred stock units under the New Jersey Resources Corporation (NJR) 2017 Stock Award and Incentive Plan. Each deferred stock unit vests on October 15, 2021 and represents a contingent right to receive one share of NJR Common Stock.

2. This total reflects an adjustment for a clerical error wherein the number of shares received as dividends on a vested award were overstated by 465 shares on a report filed on October 17, 2018.
