Explanation of Responses:

1. Mr. Engh's Form 5 for The Valspar Corporation's fiscal year ended October 30, 2015, filed with the Securities and Exchange Commission on December 14, 2015, inadvertently included an additional 3,050 shares that he had donated in May 2015. Such shares have been removed from his total share ownership for Valspar's fiscal year ended October 30, 2015 in this Amendment No. 1 to Form 5.
