| 1. Disposed of in accordance with the Agreement and Plan of Merger (the "Merger Agreement"), dated June 21, 2017, among the Issuer, Enel Green Power North America, Inc. ("Parent"), and Pine Merger Sub, Inc., a wholly-owned subsidiary of Parent ("Purchaser") in exchange for cash consideration of $7.67 per share, without interest, subject to any required withholding of taxes. Pursuant to the Merger Agreement, Purchaser merged with and into the Issuer, with the Issuer continuing as the surviving corporation (the "Merger"). |
| 2. Pursuant to the terms of the Merger Agreement, the vesting of restricted stock units ("RSUs") was accelerated in connection with the Merger and the RSUs became fully vested effective immediately prior to the effective time of the Merger. Each RSU was cancelled in the Merger and, in lieu of any issuance of shares in settlement of such RSU, converted into the right to receive a cash payment equal to $7.67 per share (without interest and less any applicable tax witholding). |
