INTRODUCTION
This Rule 13e-3 Transaction Statement on Schedule 13E-3 (the “Schedule 13E-3”) is being jointly filed with the Securities and Exchange Commission (the “Commission”) pursuant to Section 13(e) of the Securities Exchange Act of 1934, as amended (the “Exchange Act”), by GI Dynamics, Inc., a Delaware corporation (the “Company” or “GI Dynamics”), in connection with the proposed reverse stock split of the Company’s common stock, $0.01 par value per share (“Common Stock”), followed immediately by a forward stock split of the Company’s Common Stock (the “Stock Split”).
Concurrently with the filing of this Schedule 13E-3, the Company is filing an information statement (the “Information Statement”) with the Commission pursuant to Regulation 14C under the Exchange Act. The Information Statement is incorporated by reference as Exhibit A. The directors of the Company are: Mark Lerdal (Chairman), Ginger Glaser and Joseph Virgilio. The executive officers of the Company are Joseph Virgilio (President and Chief Executive Officer), Charles R. Carter (Chief Financial Officer) and Stephen Linhares (Vice President of Clinical and Regulatory Affairs).
