1. These shares of common stock were transferred from the reporting person's direct ownership to Madison Dearborn Partners, LLC ("MDP"). The reporting person is a Managing Director of MDP. Pursuant to the policies of MDP, the reporting person holds shares granted to him on account of his service as a director of the issuer for the benefit of MDP, and transferred the shares to MDP after they vested.
