Explanation of Responses:

1. Represents the voluntary withdrawal shares of Vertiv Holdings Co common stock (the "Common Stock") from R VRT GRAT 2024, a grantor retained annuity trust, at a price per share calculated based on the average high and low trading prices of the Common Stock on the date of the transaction. The reporting person believes that the withdrawal of shares from the trust constitutes a change in form of beneficial ownership of the shares, exempted by Rule 16a-13 under the Securities Exchange Act of 1934.

2. Represents the voluntary withdrawal of shares of Common Stock from S VRT GRAT 2024, a grantor retained annuity trust, at a price per share calculated based on the average high and low trading prices of the Common Stock on the date of the transaction. The reporting person believes that the withdrawal of shares from the trust constitutes a change in form of beneficial ownership of the shares, exempted by Rule 16a-13 under the Securities Exchange Act of 1934.
