Explanation of Responses:

1. Pursuant to the Agreement and Plan of Merger, dated as of January 4, 2018, among Connecture, Inc., FP Healthcare Holdings, Inc. and FP Healthcare Merger Sub Corporation, the shares were cancelled and converted into the right to receive $0.35 in cash, without interest, less any applicable withholding taxes.
