| 1. The performance share units issued to the Reporting Person were approved by the compensation committee of the board of directors of the Issuer (the "Compensation Committee") on October 1, 2014 (and reported on a Form 4 filed with the Securities and Exchange Commission on October 3, 2014), subject to the achievement of certain financial targets by the Issuer as certified by the audit committee of the board of directors (the "Audit Committee") and the Compensation Committee. The Audit Committee certified such financial targets for fiscal year 2015 on August 24, 2015, and the Compensation Committee certified such financial targets on August 25, 2015. All of the performance share units vested on August 25, 2015, and the Reporting Person received 6,865 shares of the Issuer's common stock upon settlement of the performance share units. |
