Knight, the record holder of all the outstanding Series B Convertible Preferred Shares of the issuer, previously agreed to assign certain benefits (if any) to the reporting person associated with 30,090 Series B Convertible Preferred Shares, including the right of conversion upon the occurrence of certain events, including a merger of the issuer. On September 1, 2016, the issuer merged (the "Merger") with and into a wholly-owned subsidiary of Apple Hospitality REIT, Inc. ("Apple Hospitality"). |
