Explanation of Responses:

1. Each restricted stock unit represents the contingent right to receive one share of Class A Common Stock upon vesting of the unit.

2. The restricted stock units vest as follows: up to 100% on 1/1/2019, subject to the satisfaction of certain performance metrics; participant shall maintain legal title to and beneficial ownership of shares received upon vesting through and until 12/31/2020.

3. No expiration date.

4. The restricted stock units vest as follows: 100% on 1/1/2016 subject to the recipient's continued employment through the vesting date.

5. The restricted stock units vest as follows: (i) up to 50% on 1/1/2016, subject to the satisfaction of certain performance metrics; and (ii) 50% on 1/1/2016 and in each case subject to the recipient's continued employment through the applicable vesting date.

6. The restricted stock units vest as follows: (i) up to 50% on 1/1/2017, subject to the satisfaction of certain performance metrics; and (ii) 50% on 1/1/2017 and in each case subject to the recipient's continued employment through the applicable vesting date.

7. The restricted stock units vest as follows: (i) up to 50% on 1/1/2018, subject to the satisfaction of certain performance metrics; and (ii) 50% on 1/1/2018 and in each case subject to the recipient's continued employment through the applicable vesting date.
