Explanation of Responses:

1. Represents shares of common stock received upon vesting of a restricted stock unit award.

2. Represents shares withheld by Registrant to satisfy tax withholding requirements on vesting of restricted stock units.

3. Each restricted stock unit represents a contingent right to receive one share of common stock.

4. This is the first vesting of the restricted stock units issued on 7/16/2020. Two remaining equal vestings occur on July 16, 2022 and July 16, 2023, subject to the Reporting Person's continued employment with the Registrant.

5. These securities were issued as an inducement to the Reporting Person to enter into employment with the Registrant.

Remarks:

This amended Form 4 is being filed to correct a typographical error in the original Form 4 filed on 7/20/2021.
