Explanation of Responses:

1. Restricted stock units granted on January 7, 2022 that vest over one year, with five-twelfths (5/12) of the shares underlying the RSUs vesting on June 8, 2022 and the remaining seven-twelfths (7/12) of the original shares underlying the RSUs vesting on January 7, 2023. The Reporting Person has elected to defer receipt of all vested shares until the earliest to occur of (a) the date that is six months following separation of service from the Issuer, (b) a change in control event and (c) death.

2. This option was granted on January 7, 2022 and vests over one year in twelve equal monthly installments, commencing on February 7, 2022.
