2. Represents restricted stock units ("RSUs") issued pursuant to SeaChange International Inc.'s Amended and Restated 2021 Compensation and Incentive Plan. The shares subject to the RSU award shall vest on the earlier to occur of (i) May 19, 2024, (ii) the date of the SeaChange International, Inc.'s 2024 Annual Meeting of Stockholders or (iii) a change in control of SeaChange International, Inc.
