1. On December 10, 2019, New Age Beverages Corporation (the "Company") issued 100,000 restricted shares of the Company's common stock ("Common Stock") to Mr. Gould. The Common Stock vests as follows: 33% on December 10, 2020, 33% on December 10, 2021 and 34% on December 10, 2022.

2. The option vests as follows: 33% on December 10, 2020, 33% on December 10, 2021 and 34% on December 10, 2022.
