Explanation of Responses:

1. The price reported in Column 4 is a weighted average price. These shares were sold in multiple transactions at prices ranging from $22.09 to $22.36, inclusive. The reporting person undertakes to provide to the Issuer, any security holder of the Issuer, or the staff of the Securities and Exchange Commission, upon request, full information regarding the number of shares sold at each separate price.

2. The shares are held directly by the Gordon L. Stitt & Valori S. Stitt Revocable Intervivos Trust U/A dtd 11/16/96 for which the Reporting Person serves as trustee.

Remarks:

This amendment on Form 4 is filed to correct the amount of securities beneficially owned following the reported transactions in column 5 of each of the reported row. The error in column 5 also appear in subsequent Forms 4 filed through December 2, 2016.
