1. Shares acquired from exercise of stock options granted pursuant to the 2003 Stock Option Plan in consideration for cash at an exercise price of $0.06 per share.

2. Shares acquired from the exercise of options granted pursuant to the 2017 Non-Qualified Equity Incentive Plan in consideration for cash at an exercise price of $0.06 per share.

3. Shares acquired from the exercise of options pursuant to the 2017 Non-Qualified Equity Incentive Plan (the "2017 Plan") which provided for the exercise of options into 416,667 shares of the Company's common stock at an exercise price of $0.06 per share which were exercised on a cashless basis, as provided for in the 2017 Plan, resulting in the issuance of 291,667 shares, net.
