Item 8.01. Other Events.
On July 17, 2006, First Potomac Realty Trust (the “Company”) and First Potomac Realty Investment Limited Partnership, the Company’s operating partnership (the “Operating Partnership”), entered into an Underwriting Agreement (the “Agreement”) with KeyBanc Capital Markets, a division of McDonald Investments Inc., as representative of the several underwriters named in the Agreement (the “Underwriters”) in connection with the public offering (the “Offering”) of 3,000,000 common shares of beneficial interest, par value $0.001 per share (the “Common Shares”). The Agreement also grants the Underwriters an option to purchase up to an additional 450,000 Common Shares from the Company to cover over-allotments, if any, within 30 days from the date of the Agreement. The net proceeds of the offering described in the Agreement, after deducting the underwriting discount and estimated offering expenses payable by the Company, will be approximately $78.4 million. The closing of the offering is expected is expected to occur on July 21, 2006.
