Grant of restricted stock units under the Whiting Petroleum Corporation 2013 Equity Incentive Plan each of which represents the right to receive one share of Whiting Petroleum Corporation common stock. The restricted stock units vest 1/3 on each of the first three anniversaries of the grant date.

2. Grant to reporting person on November 1, 2017 of restricted stock units under the Whiting Petroleum Corporation 2013 Equity Incentive Plan, each of which represents the right to receive in cash the value of Whiting Petroleum Corporation common stock. The restricted stock vest 1/3 on each of the first three anniversaries of the grant date.
