1. Shares granted upon the vesting of a performance share award issued to the reporting person in October 2012 under the Company's 2006 Omnibus Incentive Plan.

2. This transaction was a broker-assisted sale of shares to cover the payment of withholding tax liability incurred upon the vesting of restricted stock and a performance share award issued to the reporting person in October 2012 under the Company's 2006 Omnibus Incentive Plan.
