Explanation of Responses:

1. Subject to stockholder approval of the increase in the number of shares authorized for issuance under the CytoDyn Inc. 2012 Equity Incentive Plan, as amended, at the next annual meeting, the options will vest upon the achievement of certain strategic milestones specified in the award agreement.

2. The options will vest in equal monthly installments over the next two years, commencing on the first month following the grant date.
