“Certificate Payment Account” means the account established and maintained by the Servicer in the name of the Indenture Trustee pursuant to the Sale and Servicing Agreement for the benefit of the Certificateholders.
“Certificateholders” means holders of record of the Certificates.
“Certificates” means the CarMax Auto Owner Trust 2025-1 certificates.
“CFPB” has the meaning given to such term in “Risk Factors— Federal financial regulatory reform could have an adverse impact on CarMax Business Services, LLC.”
“Class A Notes” means the Class A-1 Notes, the Class A-2 Notes, the Class A-3 Notes and the Class A-4 Notes.
“Class A-1 Notes” means the $206,000,000 aggregate principal amount of the Trust’s Class A-1 % Asset-backed Notes. If the aggregate initial principal amount of the Notes is $1,500,000,000, the initial aggregate principal amount of the Class A-1 Notes will be $268,800,000.
“Class A-2 Notes” means, collectively, the Class A-2a Notes and the Class A-2b Notes.
“Class A-2a Notes” means the $ aggregate principal amount of the Trust’s Class A-2a % Asset-backed Notes.
“Class A-2b Notes” means the $ aggregate principal amount of the Trust’s Class A-2b SOFR Rate + % Asset-backed Notes.
“Class A-3 Notes” means the $412,000,000 aggregate principal amount of the Trust’s Class A-3 % Asset-backed Notes. If the aggregate initial principal amount of the Notes is $1,500,000,000, the initial aggregate principal amount of the Class A-3 Notes will be $537,390,000.
“Class A-4 Notes” means the $72,380,000 aggregate principal amount of the Trust’s Class A-4 % Asset-backed Notes. If the aggregate initial principal amount of the Notes is $1,500,000,000, the initial aggregate principal amount of the Class A-4 Notes will be $94,300,000.
“Class B Notes” means the $21,480,000 aggregate principal amount of the Trust’s Class B % Asset-backed Notes. If the aggregate initial principal amount of the Notes is $1,500,000,000, the initial aggregate principal amount of the Class B Notes will be $28,020,000.
“Class C Notes” means the $14,520,000 aggregate principal amount of the Trust’s Class C % Asset-backed Notes. If the aggregate initial principal amount of the Notes is $1,500,000,000, the initial aggregate principal amount of the Class C Notes will be $18,940,000.
“Class D Notes” means the $11,620,000 aggregate principal amount of the Trust’s Class D % Asset-backed Notes. If the aggregate initial principal amount of the Notes is $1,500,000,000, the initial aggregate principal amount of the Class D Notes will be $15,150,000.
“Clearstream” means Clearstream Banking, a société anonyme and a professional depository under the laws of Luxembourg.
“Closing Date” means the date on which the Notes are initially issued, which is expected to be January 22, 2025.
“Collection Account” means the trust account established and maintained by the Servicer with the Indenture Trustee in the name of the Indenture Trustee pursuant to the Sale and Servicing Agreement for the benefit of the Noteholders and the Certificateholders into which the Servicer is required to deposit collections on the Receivables and other amounts.
