Amendment to Yahoo! Agreement
On March 19, 2014, the Registrant entered into Amendment Number 9 (the “Yahoo Amendment”) to that certain Yahoo! Publisher Network Agreement with Yahoo! Inc. and Yahoo! Sarl dated August 25, 2010, as amended by Amendment Number 1, dated August 30, 2010, Amendment Number 2, dated April 4, 2011, Amendment Number 3, dated May 6, 2011, Amendment Number 4, dated July 29, 2011, Amendment Number 5, dated April 12, 2012, Amendment Number 6, dated May 29, 2012, Amendment Number 7, dated August 1, 2012, and by Amendment Number 8, dated September 29, 2012 (collectively, the “Yahoo Agreement”). The Yahoo Amendment provides that Yahoo! Sarl is no longer a party to the Agreement and is replaced with the new entity, Yahoo! EMEA Limited. The Yahoo Amendment also adds to the definition of the Territory covered by the Yahoo Agreement and adds a termination right with respect to Yahoo!’s provision of certain types of ads. The effective date of the Yahoo Amendment is March 19, 2014.
