Cragun, acquired the issuer's Series A Senior Convertible Notes (the "Series A Notes") and a Warrant to purchase 18,071 shares of the issuer's Common Stock for an aggregate purchase price of $20,000. Each share of Series A Notes is convertible at Mr. Cragun's option into 36,143 shares of the issuer's Common Stock. The conversion price of the Series A Notes is currently fixed at $0.5534, but is subject to certain anti-dilution adjustments as set forth in a related Securities Purchase Agreement. |
