Explanation of Responses:

1. The option was approved on September 18, 2020 by the Compensation Committee of the Issuer's Board of Directors in connection with certain consulting services being provided by the Reporting Person. 1/24th of the shares subject to the option shall vest on October 21, 2020 and 1/24th of the shares subject to the option shall vest on each month thereafter, subject to the Reporting Person's continued service to the Issuer through each such date.
