Item 1.01 Entry into a Material Definitive Agreement.
On December 22, 2004, Worldspan, L.P. (the “Company”) entered into Amendment No. 10 (the “Amendment”) to the CRS Marketing, Services and Development Agreement (the “Agreement”) between the Company and IAC Global, LLC (as successor in interest to Microsoft Corporation). The Agreement provides the terms under which the Company provides travel information to and processing services for IAC Global, LLC. The Amendment alters the manner in which the Company compensates IAC Global, LLC for car rentals booked using the Company's processing services, and it addresses the responsibilities associated with communication fees and related expenses.
