operations and financial condition. The full extent to which the COVID-19 pandemic will directly or indirectly impact our business, results of operations and financial condition, will depend on future developments that are highly uncertain, including as a result of new information that may emerge concerning COVID-19 and the actions taken to contain or treat it, as well as the economic impact on local, regional, national and international markets.
Recent Developments
On July 21, 2020, we entered into a Securities Purchase Agreement, or the July Purchase Agreement, with several institutional and individual investors for the concurrent sale of: (i) 2,581,867 shares of our common stock in a registered direct offering, resulting in gross proceeds of $6.2 million, before deducting the placement agent’s cash commissions and other offering expenses, and excluding the proceeds, if any, from the exercise of the warrants, and (ii) unregistered warrants to purchase up to an aggregate of 1,290,933 shares of common stock. The combined purchase price for one share and one warrant to purchase half of a share of common stock was $2.3825. The warrants issued to investors are, subject to certain ownership limitations, immediately exercisable at an exercise price equal to $2.32 per share and expire on January 21, 2026. The shares, but not the warrants or shares of common stock issuable upon exercise of the warrants, were offered and sold by us pursuant to the Registration Statement and a related prospectus supplement. In addition, we issued warrants to purchase 154,912 shares of common stock at an exercise price of $2.9781 per share to the placement agent as part of its compensation. The placement agent warrants are exercisable immediately upon issuance and terminate on July 21, 2025.
Effective as of August 27, 2020, we terminated the ATM Agreement, with Stifel, and we are no longer offering any securities pursuant to the prospectus supplement filed with the SEC on February 9, 2018 relating to the offer and sale of shares of our common stock pursuant to the ATM Agreement.
