Sale of Elitch Gardens Theme Park – Denver Colorado
On June 5, 2015, the Company closed on the sale of Elitch Gardens Theme and Water Park, a 62-acre gated attractions and water park located in Denver, Colorado (“Elitch Gardens”), to KSE Elitch Gardens/ Revesco/ Second City, LLLP, an unaffiliated Denver-based investor group, for approximately $140 million. We anticipate a portion of the proceeds from our asset sales, including the sale of Elitch Gardens, may be used to fund a special distribution to shareholders, which could occur as early as the third quarter this year.
In March 2014, the Company engaged Jefferies LLC, a global investment banking and advisory firm, to assist the Company in evaluating strategic options to provide liquidity to the stockholders; and the sale of Elitch Gardens was in furtherance therewith. The Company is continuing to work with its financial advisor to explore and execute strategic liquidly alternatives for the balance of its portfolio. There can be no assurances that this process will result in liquidity.
