Explanation of Responses:

1. Represents shares received by the Reporting Person as a result of the pro rata distribution by Kellogg Company of all outstanding shares of the Issuer's common stock to Kellogg Company's shareowners on October 2, 2023. These transactions are voluntarily reported herein by the Reporting Person notwithstanding the exemption provided by Rule 16a-9 under the Securities Exchange Act of 1934.

2. Each restricted stock unit ("RSU") represents a contingent right to receive one share of the Issuer's common stock.

3. The RSUs were granted upon conversion of certain outstanding time-based RSUs and performance-based RSU awards granted by Kellogg Company (including dividend equivalents from automatic reinvestment of dividends accrued thereon) and are subject to the same terms and conditions (including with respect to vesting and settlement) as were applicable to the corresponding Kellogg Company RSU award. The RSUs vest on February 16, 2026, which is the third anniversary of the grant date of the corresponding Kellogg Company RSU award.
