Explanation of Responses:

1. Shares purchased pursuant to the Docusign, Inc. 2018 Employee Stock Purchase Plan ("ESPP"), for the ESPP purchase period of October 6, 2021, through April 5, 2022. In accordance with the ESPP, these shares were purchased at a price equal to 85% of the closing price of the issuer's common stock on April 5, 2022.

2. Each restricted stock unit ("RSU") represents a contingent right to receive one share of common stock of the Issuer upon vesting.

3. The RSUs will vest in full on the one year anniversary of the vesting commencement date of April 10, 2022, in each case subject to the Reporting Person being a service provider through each such date. The restricted stock units are subject to accelerated vesting in the event of a termination of employment of the Reporting Person including under certain circumstances following a change in control of the Issuer.

4. The RSUs do not expire; they either vest or are cancelled prior to vesting date.
