Item 2.02. Results of Operations and Financial Condition.
On November 1, 2012, Tessera Technologies, Inc. (the “Company”) announced its financial results for the third quarter 2012 and announced that the Company’s board of directors declared a cash dividend of $0.10 per share of common stock for the fourth quarter, payable on December 13, 2012, for the stockholders of record at the close of business on November 22, 2012.
A copy of the Company’s press release and management’s prepared remarks announcing these financial results, the dividend declaration and other information regarding the Company’s financial condition are attached hereto as Exhibit 99.1 and Exhibit 99.2, respectively, to this Form 8-K.
The information contained in Item 2.02 of this Current Report on Form 8-K, including Exhibits 99.1 and 99.2 attached hereto, shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934 (the “Exchange Act”), nor shall it be deemed incorporated by reference in any filing under the Securities Act of 1933 or the Exchange Act.
