Explanation of Responses:

1. Restricted stock units convert into the Issuer's common stock on a one-for-one basis.

2. All of the restricted stock units will vest on August 16, 2020.

3. On August 17, 2016 the reporting person was granted 3,009 restricted stock units vesting in three equal installments beginning on the first anniversary of the grant date.

4. On August 17, 2018 the reporting person was granted 1,409 restricted stock units vesting on the first anniversary of the grant date.
