Explanation of Responses:

1. Acquired by GEMS Fund 4, L.P. pursuant to the Agreement and Plan of Merger, dated as of November 27, 2018 (as amended, the "Merger Agreement"), by and among Golub Capital Investment Corporation ("GCIC"), Golub Capital BDC, Inc. ("GBDC"), Fifth Ave Subsidiary Inc., GC Advisors LLC and, for certain limited purposes, Golub Capital LLC in exchange for 1,829,328.324 shares of GCIC common stock. On the closing of the merger, the market price of GBDC common stock was $18.74.

2. Owned indirectly by Mr. Webster through an investment in GEMS Fund 4, L.P., which upon settlement of the GBDC common stock acquired pursuant to the Merger Agreement, directly owns 1,582,369 shares of GBDC common stock.
