On July 20, 2016, Hines Real Estate Investment Trust, Inc. (“Hines REIT”) distributed a letter to its stockholders regarding an unsolicited offer to purchase shares of Hines REIT's common stock (the “Letter”) and is simultaneously making this information available through this Current Report on Form 8-K. A copy of the Letter is filed herewith as Exhibit 99.1 to this Current Report on Form 8-K. In addition, Hines REIT is filing herewith as Exhibit 99.2 to this Current Report on Form 8-K an email communication that was distributed, with the Letter as an attachment, to financial advisors whose clients include stockholders of Hines REIT.
