ITEM 8.01 OTHER EVENTS.
On May 17, 2006, New Century Bancorp, Inc. (the “Registrant”) announced that it had filed a registration statement on Form S-1 with the Securities and Exchange Commission relating to the public offering of 1,000,000 shares of common stock. Howe Barnes Investments, Inc. and Sandler O’Neill & Partners, L.P. will serve as underwriters of the offering and will be granted a 30-day option to purchase up to an additional 150,000 shares of common stock to cover over-allotments, if any.
A copy of the Registrant’s press release is attached hereto as Exhibit 99.1 and incorporated herein by reference.
On May 17, 2006, the Registrant filed an application to have its common stock listed for quotation on the NASDAQ National Market under the symbol “NCBC.”
