| ITEM 2.02 | RESULTS OF OPERATIONS AND FINANCIAL CONDITION. |
On February 3, 2009, New Century Bancorp, Inc. (the “Registrant”) announced financial results for the fourth quarter and year ended December 31, 2008. For the fourth quarter of 2008, the Registrant reported a net loss of $666,000 or basic and diluted net loss per share of ($0.10). The Registrant reported a net loss of $193,000, or basic and diluted net loss per share of ($0.03) for the year ended December 31, 2008. A copy of the press release (the “Press Release”) announcing the Registrant’s results for the fourth quarter and year ended December 31, 2008, including a table of selected financial information, is filed as Exhibit 99.1 hereto and incorporated by reference herein.
