Item 1.02 Termination of a Material Definitive Agreement.
On July 24, 2006, United America Indemnity, Ltd. (the "Company") issued a press release announcing the resignation of its President, Joseph F. Morris, effective August 25, 2006. As a result of this resignation, the Executive Employment Agreement between Mr. Morris and United America Indemnity Group, Inc., a subsidiary of the Company, will be terminated effective August 25, 2006, provided, however, that certain provisions, including confidentiality, non-competition, and non-solicitation, expressly survive the termination of the employment agreement.
The Executive Employment Agreement was filed as Exhibit 10.28 to the Company’s Form 10-K filed on March 16, 2006 and is incorporated herein by reference.
Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.
On July 24, 2006, the Company issued a press release announcing the resignation of its President, Joseph F. Morris, effective August 25, 2006.
