Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On November 29, 2008, the Company received notice that Richard L. Duszak, a member of the Company's Board of Directors, Chair of the Company's Audit Committee and a member of the Section 162(m) Committee, resigned effective as of November 28, 2008. Mr. Duszak's resignation was due to personal reasons and was not as a result of any disagreement with the Company or any matters relating to the Company's operations, policies or practices.
