On June 8, 2009, Robert S. Fleischer, having joined Willis Capital Markets and Advisory Services as a Managing Director, resigned as a member of our Board of Directors. Mr. Fleischer's resignation was not as a result of any disagreement with the Company or any matters relating to the Company's operations, policies or practices.
