Section 2 – Financial Information
Item 2.02 Results of Operations and Financial Condition.
On October 28, 2021, Hilltop Holdings Inc., or the Company, issued a press release announcing its results of operations and financial condition as of and for the three months ended September 30, 2021. The text of the release is set forth in Exhibit 99.1 attached to this Current Report on Form 8-K and is incorporated herein by reference.

Section 8 – Other Events
Item 8.01 Other Events.
On October 28, 2021, the Board of Directors of the Company declared a quarterly cash dividend of $0.12 per common share, payable on November 30, 2021, to stockholders of record as of the close of business on November 15, 2021.
Additionally, on October 28, 2021, the Board of Directors of the Company authorized, subject to regulatory review, an increase to the aggregate amount of common stock the Company may repurchase under the stock repurchase program originally authorized in January 2021, to $200.0 million, an increase of $50.0 million. The stock repurchase program expires in January 2022. Under the program, the Company is authorized to repurchase its outstanding common stock in the open market or through privately negotiated transactions as permitted under Rule 10b-18 promulgated under the Securities Exchange Act of 1934. The extent to which the Company repurchases its shares and the timing of such repurchases will depend upon market conditions and other corporate considerations, as determined by the Company’s management team. The purchases will be funded from available cash balances.
