Explanation of Responses:

1. Grant of restricted stock unit, each of which represents the right to receive one share of common stock of The Davey Tree Expert Company. The units vest as to one-third on each of the first, second and third anniversary of the date of the grant subject to continued service through the vesting date or upon occurrence of a change in control. Any units that do not vest will be forfeited.
