| 1. The option shall vest as to 25% of the shares on March 1, 2023, and the remainder shall vest in substantially equal installments over the 36 months immediately following such date. |
| 2. The option shall vest in the event Product Revenues for the Company's fiscal year ending December 31, 2022 meet or exceed its corresponding budgeted amount in the Company's budget as approved by the Board on December 2, 2021. |
| 3. The option shall vest on December 31, 2022 if as of such date the Company has sufficient cash and cash equivalents or available sources of borrowings to fund the Company's operating plan, as approved by the Board as of such date, into 2024. |
