Represents shares of the Issuer's common stock sold to satisfy tax obligations relating to the acquisition of shares of the Issuer's common stock in connection with the settlement of the vested portion of Restricted Stock Units. Such sale was executed pursuant to the mandatory terms of the Issuer's restricted stock unit award agreement that are intended to permit such sale to comply with the requirements of Rule 10b5-1(c)(1)(i)(B) under the Exchange Act and be interpreted to comply with the requirements of Rule 10b5-1(c).
