DCS Announces Commencement of Tender Offer
Lisle, IL – December 1, 2009 – (NYSE: DCS) Claymore Dividend & Income Fund (the “Fund”), a non-diversified closed-end management investment company, as a part of its continuing efforts to increase shareholder value, is offering to purchase up to approximately 45% of the Fund’s outstanding common shares in exchange for a pro-rata portion of the Fund’s portfolio securities, subject to certain adjustments, at 99.5% of the net asset value (“NAV”) per common share. The NAV will be determined at of the close of the regular trading session of the New York Stock Exchange on the trading day immediately after the day the tender offer expires (the “Tender Pricing Date”).
The in-kind tender offer will commence on December 1, 2009. The offer will expire at 11:59 p.m., Eastern Time, on January 4, 2010 (the “Expiration Date”), unless the offer is extended. The Tender Pricing Date is expected to be January 5, 2010. The offer is being made upon the terms and subject to the conditions set forth in the Offer to Repurchase, which will be mailed on or about December 1, 2009 to record holders of common shares as of November 24, 2009.
