Explanation of Responses:

1. Constitutes shares delivered in payment of a tax liability incident to the receipt of the shares reported on this Form 4.

2. Constitutes the weighted average sale price for multiple transactions reported on this line having prices per share ranging from $.93 to $1.03. The Reporting Persons will provide upon request by the Commission staff, the issuer or a security holder of the issuer, full information regarding each separate transaction.

3. One-fourth of the options vested on August 17 of each of 2012, 2013, 2014 and 2015.

4. The option vested in three equal annual installments commencing October 13, 2014.

5. One-third of the stock appreciation rights will vest on December 10 of each of 2019, 2020 and 2021.
