1. Represents vested deferred stock units granted, pursuant to the Reporting Person's election, in lieu of $14,375 in cash for director fees. These deferred stock units will be settled into an equal number of shares of common stock following the earlier of the Reporting Person's termination of board service and a change in control under the Envision Healthcare Holdings, Inc. 2013 Omnibus Incentive Plan.
