The reporting person undertakes to provide to U.S. Silica Holdings Inc., or any stockholder thereof, or the staff of the Securities and Exchange Commission, upon request, full information regarding the number of shares sold at each separate price

2. Mr. Shaver previously transferred 120,114 shares of Common Stock to Cliff Liquid Investments LP. The change in ownership form of these shares from direct to indirect has not previously been reflected in Mr. Shaver's Form 4 filings.
