1. The sale was effected pursuant to a Rule 10b5-1 trading plan adopted by the Reporting Person on November 20, 2018.

2. The price reported is a weighted average price. These shares were sold in multiple transactions at prices ranging from $90.09 to $91.077 inclusive. Upon request by Avalara, Inc., any security holder thereof, or the staff of the Securities and Exchange Commission, the Reporting Person will provide full information regarding the number of shares sold at each separate price within the ranges set forth in footnotes (2) through (4) to this Form 4.
